Director Identification Number (DIN): The first step is obtaining a Director Identification Number (DIN) for the proposed director of the OPC. DIN can be obtained by submitting an application online through the MCA portal.
Digital Signature Certificate (DSC): A Digital Signature Certificate is required for the proposed director(s) of the OPC. It is used for online filing and signing of documents. DSC can be obtained from certified authorities.
Name Approval: The next step is to obtain approval for the proposed name of the OPC. The name should be unique and not infringe on any existing trademarks or entities. An application for name reservation is submitted to the MCA along with the required fee.
Memorandum of Association (MOA) and Articles of Association (AOA): Once the name is approved, the MOA and AOA are prepared. These documents outline the objectives, activities, and rules of the OPC. The MOA and AOA must be signed by the subscriber(s) in the presence of a witness.
Filing of Forms: The completed documents, including the MOA, AOA, and other required forms, are filed with the Registrar of Companies (RoC) through the MCA portal. The forms include details about the directors, shareholders, registered office address, and other relevant information.
Payment of Fees: The prescribed registration fees, based on the authorized capital of the OPC, must be paid at the time of filing the registration documents.
Certificate of Incorporation: Upon successful verification of the documents and compliance with the necessary requirements, the RoC issues a Certificate of Incorporation. This certificate signifies the formation of the OPC and its legal existence.
