Here is an overview of the LLP registration process:
Obtain Digital Signature Certificate (DSC): The first step is to obtain a Digital Signature Certificate (DSC) for the designated partners of the LLP. The DSC is necessary for filing online forms and signing electronic documents.
Obtain Director Identification Number (DIN): All designated partners must obtain a Director Identification Number (DIN) from the MCA. The DIN serves as a unique identifier for the partners and is required for filing the incorporation documents.
Name Reservation: Choose a unique name for your LLP, ensuring that it complies with the naming guidelines prescribed by the MCA. You can check the availability of the proposed name through the MCA portal and reserve it by filing Form RUN (Reserve Unique Name).
Prepare Incorporation Documents: Once the name is reserved, you need to prepare the incorporation documents. This includes drafting the LLP Agreement, which outlines the rights, duties, and responsibilities of the partners, as well as the proposed activities of the LLP. Other documents include Form FiLLiP (Form for incorporation of LLP) and Form 9 (Declaration of Consent and Statement of Partners).
File Incorporation Documents: Submit the incorporation documents along with the requisite fees to the MCA through the LLP eForm portal. The documents are reviewed by the Registrar of Companies (RoC) for approval.
Certificate of Incorporation: If the RoC is satisfied with the submitted documents, they will issue a Certificate of Incorporation. This certificate confirms the legal existence of the LLP and includes important details such as the LLP Identification Number (LLPIN) and the date of incorporation.
LLP Agreement: Within 30 days of incorporation, the LLP Agreement must be filed with the MCA. This agreement can be filed in Form 3 or through an integrated LLP Agreement Form, depending on the circumstances. The agreement should be executed by all the partners and any changes must be promptly notified to the MCA.
